Abstract
In January 2013, an analyst at the Institute of Shareholder Services Inc. (ISS) received a request for a meeting from Mr. Dong-Soo Leea, Chief Strategy Officer (CSO) of the KB Financial Group (KBFG). CSO Lee requested a private meeting with the Institutional Shareholder Services Inc. (ISS) personnel in Singapore in late February and early March 2013. CSO Lee briefly mentioned that the board of directors (BOD) at KBFG had decreased the shareholder value of KBFG by blocking its acquisition of ING Life Co., Korea. According to CSO Lee, the KBFG board chairman, Mr. Kyung-Sam Baek, and outside directors who supported the chairman, Baek discouraged the senior management's strategic plan to boost the long-term competitiveness of KBFG13. The analyst at the ISS agreed to organize a meeting with CSO Lee and decided to investigate the situation at KBFG further.
